Academic spin-off company "Economics Education Services Ltd"
Economics Education Services Ltd (EES) is an incorporated spin-off company aimed at commercial exploitation of know-how and expertise gained in applied academic research. The spin-off company is incorporated as part of the European and Italian legislation concerning the incorporation of spin-off companies, particularly academic spin-offs: Italian Law no. 240/2010, Ministerial Decree no. 168/2011 (Ministry of Education, University and Research), and subsequent amendments thereto. The spin-off company was incorporated on 25th November 2014 in the notary's office Dr. Giovanni Di Pierdomenico (Pescara, Italy) and is regularly registered in the public register of companies.
EES Ltd designs and develops educational softwares with the aim of encouraging both the innovation of educational practices, vocational education, and continuing professional education, and the strengthening of a research stream on experimental and cognitive economics. The spin-off company has been incorporated in order to commercially exploit an intellectual property right produced within the framework of the academic community and, more specifically, by the researchers Edgardo Bucciarelli, Gianfranco Giulioni, and Marcello Silvestri. This intellectual property right was registered with the Italian Society of Authors and Publishers (SIAE) on 15th January 2014 under the name "balance-sheet ecotoolkit" (BET) no. 009119, exclusively in order to provide the spin-off company with an initial operational resource and, therefore, to support its actual start-up. Subsequently, indeed, the software and its intellectual property right were incorporated by the spin-off company on 21st December 2016 which still owns them.
To date, 30th September 2018, EES Ltd is managed by a sole administrator, Dr. Luciano Carullo. The share capital is currently (30th September 2018) represented by the following co-founding members: Foundation Federico Caffè & Corradino D'Ascanio, Nicola Mattoscio, Edgardo Bucciarelli. Previously, until the shareholders' meeting held on 14th June 2018, the share capital of the spin-off company was held by the early six co-founding members: University of Chieti-Pescara (Italy), Foundation Federico Caffè & Corradino D'Ascanio, Nicola Mattoscio, Edgardo Bucciarelli, Gianfranco Giulioni, and Marcello Silvestri. Since its incorporation and up to 14th June 2018, the spin-off company was managed by a Board of Directors composed of five members: Nicola Mattoscio, Edgardo Bucciarelli, Donatella Furia, Gianfranco Giulioni, and Marcello Silvestri. Chairmen of the Board of Directors were Nicola Mattoscio until 17th October 2017, and subsequently Gianfranco Giulioni until 14th June 2018.
